Terms and Conditions: Lease a Bike Sweepstake

1. Eligibility:

1. The Lease a Bike Sweepstake ("Sweepstake") is open to individuals located in the state of California (United States) who are 18 years of age or older at the time of entry and who are acting on behalf of a business registering as a Lease a Bike partner bike shop. Limit one entry per bike shop.
2. Employees of Lease a Bike, its affiliates, subsidiaries, advertising, promotion, and fulfillment agencies, and their immediate family members are not eligible to participate in the Sweepstake. Offer is void where prohibited by law.

2. How to Enter:

1. Participants can enter the Sweepstake by registering as a partner bike shop in California at https://portal.leaseabike.com/registration.
2. NO PURCHASE IS NECESSARY TO ENTER THE SWEEPSTAKE. PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING.
3. Entries must be received and participants must complete the full registration process, including the provision of requested documents, within the Sweepstake period. The Sweepstake period begins on October 14, 2024, and ends on December 1, 2024. All entries must be received by 23:59 Pacific Time Zone ("PT") on December 1, 2024. Lease a Bike is not responsible for entries made but not received and/or accepted for any reason, including lost or incomplete entries, entries not received due to technical failure, or entries connected to fraud, and all such entries are void.

3. Prize:

1. The prize for this Sweepstake consists of a signed team jersey of the Visma | Lease a Bike road cycling team. The cycling team jerseys have an approximate retail value of $84.80 per item but Lease a Bike makes no representation or warranty as to the value of the prize. The prize is unique and is awarded “as-is” without any warranties or guarantees.
2. The prize is non-transferable and cannot be redeemed for cash or any other substitutes.

4. Winner Selection:

1. Winners will be selected randomly from all eligible entries received during the Sweepstake period.
2. Winners will be notified via the email address provided during entry.
3. If a potential winner does not respond to the notification within seven (7) days or is found to be ineligible, an alternate winner may be selected at the discretion of Lease a Bike.

5. Publicity Release:

1. By participating in the Sweepstake, participants grant Lease a Bike the right to use their name and likeness for promotional purposes without additional compensation, except where prohibited by law.

6. General Conditions:

1. Visma | Lease a Bike reserves the right to cancel, suspend, or modify the Sweepstake if any fraud, technical failures, or any other factor beyond its reasonable control impairs the integrity of the Sweepstake.
2. By entering the Sweepstake, participants agree to be bound by these Terms and Conditions and the decisions of Lease a Bike, which are final and binding.
3. Lease a Bike is not responsible for any typographical or other errors in the printing of these Terms and Conditions, administration of the Sweepstake, or in the announcement of prizes.

7. Indemnity; Limitation of Liability:

1. Participant hereby releases and discharges, and hereby agrees to defend, indemnify, and hold harmless, Lease a Bike, its affiliates, any additional sponsors, and their respective employees, agents, officers, directors, and legal representatives and assigns, from and against any and all claims, liabilities, damages, losses or expenses arising from or caused by the award or non-award of a prize (including, but not limited to the payment of any and all taxes that may be due), the Sweepstakes, or the ownership or use of any prize.
2. Lease a Bike and its respective affiliates, subsidiaries, advertising, promotion, and fulfillment agencies, and each of their respective officers, directors, employees, representatives, and agents shall have no liability for any losses or damages of any kind resulting from participation in the Sweepstake or acceptance, possession, or use of any prize.

8. Governing Law; Jurisdiction and Venue:

1. The Sweepstake and these Terms and Conditions are governed by the laws of the State of California, without regard to its conflicts of law principles. Jurisdiction and venue for any and all actions arising from the Sweepstake, regardless of legal theory, shall be in the California Superior Court sitting in Marin County, California. If such action is removed to federal court for any reason, jurisdiction and venue shall be in the United States District Court for the Ninth Circuit (Northern District of California) sitting in San Francisco, California.

9. Privacy Policy:

1. Any personal information collected during the Sweepstake will be used solely for the purpose of administering the Sweepstake and will not be disclosed to any third party without the participant's consent, except as required by law.

10. Sponsor:

1. The Sweepstake is sponsored by Lease a Bike USA, LLC, 75 Digital Drive, Novato, CA 94949.

By participating in the Sweepstake, participants agree to abide by these Terms and Conditions and the decisions of Lease a Bike, which are final and binding in all respects.
